Visma founds a company dedicated to Internet products and services, and applies to list it on the Oslo Stock Exchange




Visma Logistics ASA, a subsidiary of Visma ASA, has signed an agreement to found a company dedicated to Internet products and services by merging with Morell Software AS, Morell Utvikling AS, Info-expert AS and IntraView AS.
The new company's business concept is to develop solutions and services that enable customers to make the most of the opportunities offered by the Internet and e-commerce. The new company will focus on standard solutions in e-commerce, e-procurement, and Web-based customer relationship management (CRM). The company's own consultants and its business partners will customize these solutions to meet specific needs. The company will seek its principal customers in the banking, finance and service sectors as well as the public sector.
Product development will be a vital aspect of the new company's activities, focusing on the rapid changes that characterize its market segments. The company has about 90 employees.

Morell supplies Internet software and services, and holds specialized competence in banking, finance and public-sector solutions. The company develops component-based software for use in distributed systems. Its main products are components for sales and consulting related to financial services, e-commerce and sharing of interests on the Internet.

Info-expert is a consultancy that offers customized solutions based on traditional client/server technology as well as Web/WAP/Internet technology.
IntraView develops and sells Internet solutions to project-oriented enterprises. Its main product - TimeEase - is a Web/WAP-based system for time recording and project tracking, developed for use in the consulting sector.

Visma Logistics sells e-procurement and e-support solutions that it has developed itself. These form the basis for e-commerce systems in large enterprises and institutions.
Visma ASA will acquire shares in Morell and Info-expert equivalent to a 56.5 % holding in the new company. The enterprise aims to finance the acquisition through a share offering in Visma ASA amounting to around NOK 30 million. The intention is to distribute about 25 % of the shares in the new company to certain eligible Visma ASA shareholders, in proportion to their respective holdings in Visma ASA. In connection with its application for a listing on the Oslo Stock Exchange, the new company will raise new equity capital through a public offering in June/July 2000.
