Visma buys 50.5% of the shares in the accounting and finance company Consept AS.

Visma Services ASA, a wholly owned subsidiary of Visma ASA, has entered into an agreement to acquire 50.5% of the shares in Consept. Visma will buy shares for NOK 2,835 million, while Consept will arrange a private placement with Visma for NOK 3,989 million.Of the cash payment for the shares, 70% will be settled through shares in Visma ASA.Consept is headquartered in Bod�, with divisional offices in Mo i Rana and Sortland. The company provides accounting services and is a Visma Business centre of expertise in North Norway. Consept AS anticipates sales of NOK 25 million for 2001, with an operating profit of NOK 2 million. Visma Services ASA has an option to buy up to 100% of the shares in Consept by the end of the first quarter of 2004. Consept will form part of Visma�s new division for outsourcing of business processes in accounting and finance.

The acquisition is conditional on successful completion of due diligence and approval by the Board of Directors of Visma ASA.
