Visma Logistics ASA



Visma ASA has entered into an agreement with WiCom ASA regarding the take-over of Visma Logistics ASA. Visma Logistics ASA is a wholly owned subsidiary of Visma ASA. The payment for Visma Logistics ASA will be 750,000 shares in WiCom ASA. The agreement is conditional on a satisfactory due diligence of Visma Logistics as well as approval by the boards of both companies, which should be resolved by 7 February.
In particular, the due diligence will verify the industrial synergies between the companies.

Visma ASA is willing to sell Visma Logistics ASA so that it can focus more strongly on the large divisions in Visma, Visma Marine ASA and Visma Business ASA, as well as on investment in Internet companies.

The take-over of Visma Logistics forms part of WiCom�s expansive strategy for becoming a leading supplier of wireless communication and logistics applications with associated value-added services. Visma Logistics will be integrated into WiCom�s division for applications and consulting. The acquisition offers great potential for synergy, and rapid integration is planned.

Visma is confident that WiCom will deliver strong performance, and has no plans to sell its holding in WiCom in the short term. When the transaction is complete, Visma will hold 17.6% of the shares in WiCom.
