14.07.2000 Last day for trading shares in Visma ASA with rights to shares in Exense ASAAs announced in the notice to the Oslo Stock Exchange dated 21 June 2000, today - 14 July 2000 - is the last trading day on which shares in Visma ASA (“Visma”) can be bought with rights to shares in Exense ASA (“Exense”). At Visma’s annual general meeting held on 29 March 2000, it was resolved that 2.5 million shares in Exense should be distributed to current Visma shareholders. Ownership of one share in Visma on 14 July 2000 gave the right to 0.150 shares in Exense.At a board meeting of the Oslo Stock Exchange on 20 June 2000, it was resolved that Exense ASA should be granted a listing on the SMB list for small and medium-sized enterprises, on condition that an introduction prospectus was prepared in compliance with stock exchange regulations. The director of the stock exchange was authorized to stipulate the first date of the listing, not later than 22 August 2000. Visma currently holds 5.5 million shares out of a total of 10 million shares in Exense. At Visma’s annual general meeting held on 29 March 2000, it was resolved that 2.5 million shares in Exense should be distributed to Visma’s shareholders. Ownership of one share in Visma would give the right to 0.150 shares in Exense. The last trading date for Visma shares with these rights is today, 14 July 2000. From Monday 17 July onwards, Visma shares will be traded ex rights to Exense shares. After the stock exchange introduction, Visma will own approximately 20% of the shares in Exense, employees of the company will own about 35%, and the remainder will be distributed among about 3000 financial investors. Exense is a component-oriented software and consulting company that focuses on e-commerce and solutions for Internet banking. The company has been founded through a merger of Morell AS, Intraview AS, Visma Logistics AS and Info-Expert AS. The company has about 80 employees.
